1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you ("you," "Client") and LBG Media ("we," "us," "our"), concerning your access to and use of the platforms of LBG Media as well as any related media services provided. You agree that by accessing our platforms or engaging our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.
2. Intellectual Property Rights
Unless otherwise indicated, our platforms are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. Any original content, strategies, or creative assets developed by us during the provision of services shall remain our intellectual property unless specifically assigned in a separate agreement.
3. Service Provision and Payment
We agree to provide media and advertising solutions as outlined in a separate Statement of Work (SOW) or service agreement. Service fees, payment terms, and campaign timelines will be specified in the SOW. Payments are due according to the schedule outlined.
4. Prohibited Activities
You may not access or use our platforms or our services for any purpose other than that for which we make them available. You agree not to use our services to engage in any fraudulent, illegal, or unethical activities. You are responsible for ensuring all materials provided to us (e.g., brand assets, ad copy) comply with all applicable laws and regulations.
5. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use our platforms or engage our services. Either party may terminate the service agreement with written notice as specified in the SOW. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, DENY, SUSPEND, OR TERMINATE SERVICES TO ANY PERSON FOR ANY REASON.
6. Governing Law
These Terms shall be governed by and defined following the laws of the United Kingdom. LBG Media and yourself irrevocably consent that the courts of the UK shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
